1. Acceptance of Terms
By installing, activating, or using the Cirrusly Commerce plugin ("the Plugin", "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Plugin.
These Terms apply to:
- The Cirrusly Commerce WordPress plugin
- Our cloud service worker (api.cirruslyweather.com)
- The admin monitoring console
- All related services and features
2. Description of Service
Cirrusly Commerce is a WordPress/WooCommerce plugin that provides:
- Google Merchant Center Compliance: Scanning and fixing product data issues
- Financial Auditing: Profit margin calculations and cost tracking
- Dynamic Pricing: MSRP display and pricing optimization
- Real-Time Sync: Product data synchronization with Google (Pro/Pro Plus)
- AI-Powered Tools: Product description and image enhancement (Pro Plus)

3. Account Requirements
3.1 WordPress Requirements
- WordPress 5.8 or higher
- WooCommerce plugin (active)
- PHP 8.1 or higher
3.2 Google Account (Optional)
To use Google Merchant Center features, you must:
- Have a valid Google Merchant Center account
- Authorize Cirrusly Commerce to access your account via OAuth
- Comply with Google's Terms of Service and Merchant Center policies
3.3 License Requirements
- Free tier: No license required
- Pro/Pro Plus: Valid license purchased through Freemius required
- One license per WordPress installation (multi-site requires separate licenses)
4. Acceptable Use
4.1 You Agree To:
- Use the Plugin only for lawful purposes
- Provide accurate product data to Google Merchant Center
- Maintain the security of your API credentials
- Comply with Google's Merchant Center policies
- Keep your WordPress installation secure and updated
4.2 You Agree Not To:
- Reverse engineer, decompile, or disassemble the Plugin
- Remove or modify any copyright notices
- Use the Plugin to submit fraudulent or misleading product data
- Attempt to circumvent license restrictions or rate limits
- Share your license key with unauthorized parties
- Use the Plugin in a way that could harm our infrastructure or other users
- Resell or redistribute the Plugin without authorization
5. API Usage and Rate Limits
5.1 Rate Limits
Our cloud service enforces rate limits to ensure fair usage:

5.2 Quota Exceeded
If you exceed your rate limit:
- Requests will be temporarily blocked (HTTP 429)
- Service resumes automatically after the rate limit window

5.3 Google API Quotas
Google Merchant Center has its own API quotas. We are not responsible for quota limitations imposed by Google.
6. Intellectual Property
6.1 Plugin Ownership
Cirrusly Commerce is owned by Cirrusly Weather LLC. The Plugin is licensed under the GNU General Public License v2 (GPLv2).
6.2 Your Content
You retain ownership of your product data, images, and business information. By using the Plugin, you grant us a limited license to process this data solely to provide the Service.
6.3 Trademarks
"Cirrusly Commerce" and "Cirrusly Weather" are trademarks of Cirrusly Weather LLC. Google, Google Merchant Center, and WooCommerce are trademarks of their respective owners.
7. Third-Party Services
The Plugin integrates with third-party services:

8. Payment and Refunds
8.1 Pricing
- Subscription pricing is displayed on our website and Freemius checkout
- Prices may change with 30 days notice to existing subscribers
- All prices are in USD unless otherwise noted
8.2 Billing
- Subscriptions are billed annually through Freemius
- Payment is due at the start of each billing period
- Failed payments may result in service interruption
8.3 Refunds
- 14-day money-back guarantee for first-time purchases
- Refund requests after 14 days reviewed on a case-by-case basis
- Refunds processed through Freemius
8.4 Cancellation
- You may cancel your subscription at any time
- Access continues until the end of your current billing period
- No partial refunds for unused time
9. Service Availability
9.1 Uptime
We strive for high availability but do not guarantee uninterrupted service. Our cloud service may experience:
- Scheduled maintenance (announced in advance when possible)
- Unplanned outages due to technical issues
- Degraded performance during high-traffic periods
9.2 Modifications
We reserve the right to:
- Modify or discontinue features with reasonable notice
- Update the Plugin to fix bugs or security issues
- Change API endpoints or functionality
9.3 Support
- Free tier: Community support via WordPress.org forums
- Pro/Pro Plus: Email support with 48-hour response target
10. Disclaimer of Warranties
THE PLUGIN IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY OF GOOGLE MERCHANT CENTER COMPLIANCE SCANS
- RELIABILITY OF PROFIT CALCULATIONS
We do not warrant that:
- The Plugin will meet your specific requirements
- The Plugin will be error-free or uninterrupted
- Compliance scans will catch all Google policy violations
- Financial calculations will be 100% accurate
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- We are not liable for any indirect, incidental, special, consequential, or punitive damages
- We are not liable for lost profits, data, or business opportunities
- We are not liable for Google Merchant Center account suspensions
- We are not liable for decisions made based on Plugin calculations
Our total liability shall not exceed the amount you paid for the Plugin in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless Cirrusly Weather LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:
- Your use of the Plugin
- Your violation of these Terms
- Your violation of Google's policies
- Your product data or business practices
13. Termination
13.1 By You
You may stop using the Plugin at any time by deactivating and uninstalling it.
13.2 By Us
We may terminate or suspend your access if:
- You violate these Terms
- You engage in fraudulent activity
- Your use harms our infrastructure or other users
- Required by law
13.3 Effect of Termination
Upon termination:
- Your license to use the Plugin ends
- You must uninstall the Plugin
- Data stored locally on your WordPress installation remains yours
- We may delete your data from our cloud services after 30 days
14. Privacy
Your use of the Plugin is also governed by our Privacy Policy. By using the Plugin, you consent to our data practices as described therein.
15. Changes to Terms
We may update these Terms from time to time. Changes will be:
- Posted on our website
- Noted in Plugin update changelogs
- Effective immediately for new users
- Effective 30 days after posting for existing users
Continued use after changes constitutes acceptance of the new Terms.
16. Governing Law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to conflict of law principles.
17. Dispute Resolution
17.1 Informal Resolution
Before filing a legal claim, you agree to contact us at legal@cirruslyweather.com to attempt informal resolution.
17.2 Binding Arbitration
Disputes not resolved informally shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.
17.3 Class Action Waiver
You agree to resolve disputes individually and waive any right to participate in class action lawsuits.
18. Severability
If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
19. Entire Agreement
These Terms, together with our Privacy Policy and any license agreements, constitute the entire agreement between you and Cirrusly Weather LLC regarding the Plugin.
